These Terms and Conditions govern your use of the services provided by Green Graph FZCO (“we”, “our”, “us”), a company registered in the United Arab Emirates and India. By accessing our website, submitting an enquiry, or engaging our services, you agree to be bound by these terms in full.

1. Services Provided

Green Graph FZCO provides the following services to businesses and individuals:

• SEO (Search Engine Optimisation) — on-page, off-page, and technical SEO strategies
• Social Media Marketing — content strategy, community management, and paid social campaigns
• Branding — brand identity development, brand strategy, and brand guidelines
• Logo Design — custom logo creation and visual identity design
• Influencer Marketing — influencer identification, outreach, and campaign management
• Web Development — website design, development, and maintenance
• Talent Acquisition — recruitment and staffing solutions for businesses
• Business Setup — company formation and registration services in the UAE (Freezone, Mainland, Offshore) and India

All services are subject to a formal service agreement outlining scope, deliverables, timelines, and fees, which will be shared before any engagement commences.

2. Enquiries and Consultations

Submitting an enquiry through our website, LinkedIn, WhatsApp, or any other channel does not constitute a binding service agreement. A formal engagement begins only upon signing a service agreement and receipt of the agreed payment or deposit. Initial consultations are provided for informational purposes only and do not constitute legal, financial, or professional advice.

3. Fees and Payments

Service fees will be clearly outlined in a written proposal or invoice prior to engagement. Payment terms will be specified in the service agreement. For project-based work, a deposit may be required before work commences. Green Graph FZCO reserves the right to pause or withhold delivery of services in the event of outstanding payments.

For business setup services, government fees, third-party charges, and regulatory costs are separate from our professional fees and may be subject to change based on prevailing authority tariffs. We are not liable for any such changes after an agreement has been initiated.

4. Client Responsibilities

Clients are responsible for:

• Providing accurate, complete, and timely information and materials required to deliver the agreed services
• Reviewing and approving deliverables within agreed timelines
• Ensuring all content, assets, and materials shared with us do not infringe any third-party intellectual property rights

Green Graph FZCO shall not be held responsible for delays, errors, or rejections caused by incomplete, inaccurate, or late submission of information by the client.

5. Deliverables and Revisions

Deliverables for each project will be defined in the service agreement. Unless otherwise stated, each service package includes a standard number of revisions as specified in the proposal. Additional revisions or scope changes beyond the agreed terms will be subject to additional fees.

6. Refund Policy

Professional service fees paid to Green Graph FZCO are non-refundable once work has commenced. For business setup services, government and third-party fees are strictly non-refundable as per the policies of the relevant authorities. In cases where work has not yet commenced, refund requests will be reviewed at our sole discretion. Any approved refunds will be processed within 14 business days.

7. Intellectual Property

Upon full payment of all agreed fees, clients will receive ownership of the final deliverables (e.g., logo files, website code) as specified in the service agreement. Green Graph FZCO retains the right to showcase completed work in our portfolio and marketing materials unless the client expressly requests otherwise in writing. All pre-existing intellectual property, tools, frameworks, and methodologies used by Green Graph FZCO remain our property.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. Green Graph FZCO will not disclose your business information, strategies, or data to any third party without your consent, except where required by law or necessary to deliver the agreed services.

9. Limitation of Liability

Green Graph FZCO shall not be liable for any indirect, incidental, or consequential losses, including but not limited to loss of revenue, data, or business opportunities, arising from the use of our services. Our total liability shall not exceed the professional fees paid for the specific service in question. We do not guarantee specific results from marketing services, as outcomes depend on multiple external factors beyond our control.

10. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the United Arab Emirates. For engagements originating from India, the laws of India shall apply concurrently where applicable. Any disputes shall be resolved through mutual negotiation in the first instance, and if unresolved, through the courts of the UAE.

11. Changes to These Terms

We reserve the right to update these Terms and Conditions at any time. Revised terms will be posted on this page with an updated “last updated” date. Continued use of our services after any changes constitutes your acceptance of the updated terms.
